Scenario

The owner of the private equity firm wanted to sell the company quickly (within18 months of acquiring it) while also locking in a good return on investment.

The Challenge​

The company had solid performance but faced challenges in:

  • Its growth rate which was lower than it had been previously

  • There were some senior level personnel issues that required fixing

  • GDPR legislation had recently been introduced and could have been seen as a threat to the business and therefore, how it conducted business needed to be re-arranging slightly to cater for this

Vico's Involvement â€‹â€‹â€‹

  • Vico Advisory guided the company’s owner through a targeted sales process:

  • Teasers were sent to 40+ potential acquirers

  • Information memorandum were sent to 15+ parties who expressed an interest 

  • First round offers were obtained within a month of starting the sales process

  • A shortlist was created and comprised of a mixture of trade and private equity acquirers

  • Each party on the shortlist was provided access to an online data room and a 2-hour management presentation a few weeks later

  • Final offers were received a month later

  • The client chose a ‘hybrid trade private equity player’ who was provided with six weeks’ exclusivity to complete the proposed transaction 

  • An under-bidder private equity player was kept warm in the background in the event the chosen bidder renéaged 

  • The chosen bidder worked hard over four weeks to complete its remaining due diligence, arranging its tax structuring and W&I insurance 

  • Both parties entered into an SPA and the transaction finally completed 5 months after the process began

The Results

  • The owner of the company generated a c. 50% return on investment for an 18-month hold period

  • Hybrid trade private equity player identified within 5 months

  • Deal closed with full exit and no earn-out clause

Insights

Private equity doesn’t always hold their investments for the full typical 3-5 year hold period. They make (di)investment decisions for various reasons which can sometimes be surprising. This is a good reminder to any business interested in potentially acquiring private-equity backed businesses that anything is possible.
